In Depth
WASHINGTON — 2018 has seen extensive health-focused merger and partnership activity, with nearly 840 deals announced as of Q3. Players new to the industry are driving innovation in the traditionally cautious health and life sciences sectors, with unanticipated and innovative alliances poised to revolutionize health care. McDermott Will & Emery is at the forefront of this activity, helping progressive leaders redefine and navigate the health care landscape through Collaborative Transformations – game-changing partnerships that drive bold and creative business solutions.
Through collaborative transformations, health and life sciences organizations are embracing new ways of engaging and working with partners both from inside and outside the health sector. This is ultimately helping to improve quality of care, increase operational efficiencies and reduce costs, while dramatically redefining what consumers have come to expect from their health care experience.
“Visionaries are exploring new approaches to develop and bring pioneering health care solutions to market,” said Stephen W. Bernstein, partner and International Head of McDermott’s Health Industry Advisory Group. “Whether organizations are looking to collaborate across industries or across the world, our team has the experience and industry knowledge to help them align different perspectives, cultures, risk tolerance and business processes as these new relationships begin. We’re passionate about the results our clients are achieving, and are excited to continue working closely with them as they drive to improve health care through these collaborative transformations.”
Whether fostering breakthrough mergers, acquisitions and affiliations, clearing the way for innovative products and services, or navigating strategic investments and alliances across industries and borders, McDermott is committed to helping clients achieve the transformations they seek. Examples of how the Firm has assisted clients in these undertakings:
- The Carle Foundation: we advised The Carle Foundation on its unique partnership with the University of Illinois to develop a highly focused college of medicine, the Carle Illinois College of Medicine. The new medical school will focus on the intersection of engineering and medicine, bringing together health care and academic systems to develop tomorrow’s leaders.
- Air Medical Group Holdings: our team represented Air Medical Group Holdings (AMGH), a KKR portfolio company, in its $2.44 billion acquisition of American Medical Response (AMR), a medical transportation company, from Envision Healthcare Corporation. This collaboration will help better serve their nearly 5 million global patients who are transported annually.
- Innate Pharma: Innate Pharma called on McDermott to represent them in their new multi-term agreement with AstraZeneca and its global biologics research and development arm MedImmune. The agreement, which builds on an existing collaboration, aims to accelerate each company’s oncology portfolio and bring new medicines to patients more quickly.
- CVS + Aetna: McDermott is one of the firms that has advised CVS Health in connection with its $69 billion purchase of Aetna. The transaction, one of this year’s largest M&A deals, is expected to transform the US health care sector.
